These Terms & Conditions ("Terms") govern your access to and use of the CheesePad website, application, documentation, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use the Services.
1. Who we are
CheesePad is a decentralized launchpad platform that provides interfaces and tooling to help users discover projects, participate in on-chain fundraising pools, and manage on-chain lock proofs. CheesePad does not operate as a bank, broker, exchange, investment adviser, or fiduciary.
2. Eligibility
You represent and warrant that:
- You are at least the age of majority in your jurisdiction.
- You have the legal capacity to enter into these Terms.
- Your use of the Services is not prohibited by applicable laws, sanctions, or regulations in your jurisdiction.
We may restrict or refuse access to the Services where prohibited by law or where we determine that doing so is necessary to reduce legal, compliance, or security risk.
3. Non-custodial and decentralized nature
- No custody: CheesePad does not custody, hold, or control your private keys, seed phrase, or digital assets. You are solely responsible for securing your wallet and private keys.
- On-chain transactions: When you interact with the Services, you may initiate blockchain transactions. Such transactions are executed by blockchain networks and smart contracts, not by CheesePad.
- Finality: Blockchain transactions may be irreversible. You acknowledge that mistaken or unauthorized transactions may not be recoverable.
4. No advice; your responsibility
CheesePad provides information and tooling for convenience only. Nothing on the Services constitutes financial, investment, legal, tax, or accounting advice. You are solely responsible for:
- Performing your own due diligence on any project or pool.
- Evaluating all risks before contributing funds.
- Complying with all applicable laws, including tax obligations.
5. Risks and disclaimers (important)
You acknowledge and agree that:
- You may lose some or all of your funds when participating in a pool or interacting with digital assets.
- Smart contracts may contain vulnerabilities, and third parties may exploit vulnerabilities.
- Digital assets are volatile and may rapidly lose value.
- Projects may fail, delay, change scope, discontinue, or act fraudulently.
- Listings (including any DEX/CEX listing or liquidity actions) are not guaranteed and are outside of CheesePad's control.
- Phishing, impersonation, and social engineering attacks are common in crypto.
- Network congestion, MEV, forks, chain reorgs, downtime, RPC issues, and other blockchain risks may prevent or delay transactions.
CheesePad does not guarantee that any pool, token, project, or smart contract is safe, profitable, compliant, or suitable for any user.
6. Fees
Your use of the Services may be subject to fees. Fees and promotional pricing may change from time to time. The canonical fee schedule is documented in Service fees, which is incorporated by reference into these Terms.
You are also responsible for all third-party fees, including blockchain network gas fees.
7. Project owner responsibilities
If you create or manage a listing, pool, or related content as a project owner, you represent and warrant that:
- You have all necessary rights to submit and publish the content you provide (logos, descriptions, links, media).
- All information you provide is accurate and not misleading.
- You will not use the Services to facilitate fraud, deception, or illegal activity.
- You will comply with all applicable laws and regulations (including any required disclosures).
You acknowledge that community members rely on your disclosures (e.g., contract addresses, lock strategy, audit information). Misrepresentation can cause user harm.
8. Prohibited use
You agree not to:
- Use the Services for any unlawful purpose.
- Attempt to hack, exploit, or disrupt the Services or related smart contracts.
- Engage in market manipulation, wash trading, or deceptive practices.
- Impersonate CheesePad team members or other users.
- Upload or share malware or malicious links.
9. Third-party services and links
The Services may reference third-party websites, protocols, smart contracts, or tools. CheesePad does not control and is not responsible for third-party content, availability, security, or practices.
10. Intellectual property
Except as otherwise stated, CheesePad and its licensors retain all rights in the Services, including software, content, branding, and documentation. You may not copy, modify, distribute, or create derivative works from the Services except as permitted by law or with prior written permission.
11. Warranty disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CHEESEPAD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEESEPAD AND ITS AFFILIATES, CONTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHEESEPAD'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT OF FEES PAID BY YOU TO CHEESEPAD FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless CheesePad and its affiliates, contributors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to:
- Your use of the Services;
- Your violation of these Terms; or
- Your violation of any law or the rights of any third party.
14. Suspension and termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued access poses security, legal, or operational risks.
15. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date above when changes are published. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
16. Governing law; disputes
These Terms and any dispute arising out of or relating to the Services will be governed by the laws of the jurisdiction in which CheesePad's operating entity is established, without regard to conflict of laws principles.
